1. Information We Collect and Sources of Information

Personal Information You Provide to Us

• Name and contact information (such as your first and last name, email address, phone number, and other account registration details)
• Profile information (such as username, profile picture, biography, and other details you choose to include in your profile or account settings, which may be visible to other users depending on your choices and the features you use)
• Location data (such as city, state, country, approximate location derived from your IP address, and, where you enable such features, more precise location information from your device)
• Activity preferences and history (such as the types of outdoor activities you are interested in, events you view, join, host, or participate in, and related search and participation history)
• Communication and marketing preferences (such as your preferences regarding email, in-app, SMS, or other communications, and your choices about receiving marketing or promotional messages)

Automatically Collected Information and Usage Data

• Device and browser information (such as device type, hardware model, operating system and version, browser type, language, and unique device or advertising identifiers)
• IP address and approximate location data derived from your IP address
• Usage Data (data and information generated through or in connection with your access to or use of the YERP platform, including pages and features used, clicks, taps, and interactions, time spent on the platform, event search and participation history, preferences, and other technical, diagnostic, performance, and usage-related data)
• Cookies and similar tracking technologies (including cookies, pixels, web beacons, local storage, software development kits (SDKs), and similar technologies that may collect or receive information about your use of the YERP platform and other websites or apps, including identifiers that may be associated with your browser or device)

As between you and YERP, YERP owns all right, title, and interest in and to the YERP platform and all software, technology, and know-how associated with it. Usage Data, Aggregated Data, and De-Identified Data derived from or based on User Content or Usage Data may be used by YERP as described in this Privacy Policy and the Terms of Use, in each case subject to applicable privacy and data protection laws, this Privacy Policy, and your rights under applicable law. YERP does not claim ownership of your personal information or User Content, except for the limited licenses you grant to YERP as described herein. You grant YERP a limited, non-exclusive, royalty-free license to your User Content and related Usage Data as described in the Terms of Use, including the rights to use, host, store, reproduce, modify, adapt, create derivative works from, publish, display, perform, and distribute such content and data solely for the purposes of: (i) operating and providing the YERP platform and services to you; (ii) improving the YERP platform and user experience; and (iii) creating Aggregated Data and De-Identified Data as described in this Privacy Policy. This license does not permit YERP to sell or rent your identifiable personal information to third parties for their own independent commercial purposes without your separate express consent, except as specifically disclosed in this Privacy Policy. YERP may commercialize Aggregated Data and De-Identified Data as described in this Privacy Policy.

Definitions

"Aggregated Data" and "De-Identified Data" mean data that has been processed in accordance with applicable legal standards (including, where applicable, NIST Special Publication 800-188 or successor standards) so that it cannot reasonably identify, and is not reasonably capable of being linked to, any specific individual person or household, taking into account the means reasonably likely to be used, including through combination with other available data. YERP will implement and maintain technical and organizational measures to prevent re-identification and will contractually prohibit recipients of such data from attempting re-identification. YERP will not attempt to re-identify Aggregated Data or De-Identified Data to an identifiable individual, except: (i) where expressly required by law or valid legal process; (ii) for security or fraud prevention purposes, and only to the minimum extent necessary; or (iii) with your express written consent.

"Usage Data" means data and information generated through or in connection with your access to or use of the YERP platform, including, without limitation: account registration information; device and browser information; IP address; identifiers and information associated with cookies and similar technologies; log files; pages and features used; clicks, taps, and interactions; approximate location information; event search and participation history; preferences; and other technical, diagnostic, performance, and usage-related data.

"User Content" means any content, information, photos, videos, text, reviews, profile details, event descriptions, and other materials that you submit, post, upload, or otherwise make available through the YERP platform. As between you and YERP, you retain ownership of your User Content, subject to the rights and licenses you grant to YERP under the Terms of Use and this Privacy Policy.

2. How We Use Your Information

• To operate, provide, maintain, and secure our service and the YERP platform
• To notify you about changes to our service, the Terms of Use, or this Privacy Policy
• To provide customer service and support, respond to your inquiries, and address technical, safety, or account issues
• To gather analysis or other valuable information so that we can operate, analyze, improve, and develop our service, features, and user experience
• To monitor the usage of our service, including for security, fraud-prevention, abuse, and diagnostic purposes
• To detect, prevent, and address technical issues, errors, and malfunctions, and to enforce our Terms of Use and other policies
• To comply with legal obligations, respond to lawful requests and legal processes, and protect the rights, property, or safety of YERP, our users, hosts, or the public
• To create, use, and disclose Aggregated Data and De-Identified Data (which may be derived from or based on User Content or Usage Data) for purposes including analytics, research, benchmarking, business intelligence, and the development and improvement of YERP's products and services. YERP may license or commercialize such Aggregated Data and De-Identified Data to third parties, provided that: (i) such data meets the de-identification standards described in this Privacy Policy; (ii) recipients are contractually prohibited from attempting re-identification; and (iii) where required by applicable law, you have been provided notice and an opportunity to opt out of such commercialization.
• To conduct marketing and advertising, including interest-based or targeted advertising and measurement of the effectiveness of such marketing and advertising, on the YERP platform, on YERP-controlled channels (such as email or social media), and on third-party websites and services, subject to your right to opt out of such targeted advertising as described in Section 5 of this Privacy Policy and as required by applicable law. You may opt out of targeted advertising at any time by contacting us at support@yerp.co.
• To personalize your experience on the YERP platform, including by providing customized content, recommendations (such as suggested events or hosts), and promotional content based on your profile, User Content, and Usage Data

3. Data Security

We implement reasonable and appropriate technical, administrative, and physical security measures to protect your personal information against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access, including:

• Encryption of data in transit and at rest
• Regular security assessments and updates
• Access controls and authentication
• Secure data storage and transmission

However, no method of transmission over the Internet or method of electronic storage is 100% secure. While we implement industry-standard security measures, we cannot guarantee absolute security of your information. In the event of a data breach that affects your personal information, we will notify you and applicable regulatory authorities as required by applicable law and will provide information about the nature of the breach, the data affected, and steps you can take to protect yourself, to the extent required by law.

4. Data Sharing, Disclosure, and Advertising Partners

We may share or disclose your information, including personal information, User Content, Usage Data, Aggregated Data, and De-Identified Data, as described in this Privacy Policy and the Terms of Use, including with:

• Service providers and business partners that perform services on our behalf or in connection with the YERP platform, such as hosting, analytics, advertising, measurement, security, customer support, email and communications providers, and payment or transactional service providers. We require these service providers to use your personal information only for the purposes of providing services to YERP and to implement appropriate security measures. These partners may include, for example, analytics and advertising providers such as Google, Meta/Facebook, Amazon, and similar vendors, who may use certain information (including Usage Data and identifiers associated with cookies and similar technologies) to provide services to YERP and to help deliver, measure, and improve advertising and analytics. Information about our key service providers is available upon request. These service providers' use of your information is subject to their own privacy policies, applicable law, and our contractual requirements that they protect your information and use it only for authorized purposes.
• Law enforcement, governmental authorities, and other third parties when we believe in good faith that such disclosure is necessary or appropriate, including to comply with applicable law, regulation, process, or governmental request, or to protect the rights, property, or safety of YERP, our users, hosts, or the public
• Other users of the YERP platform, but only with respect to information you choose to share or make visible (such as your username, profile information, User Content, event participation or hosting information, reviews, or messages, depending on the features you use and your settings)
• Third parties with whom we share or to whom we disclose Aggregated Data or De-Identified Data (which may be created from or based on User Content or Usage Data), which we may use, disclose, or license for purposes including analytics, research, benchmarking, business intelligence, and improving our products and services. We will not sell or rent personal information that identifies you individually to third parties for their independent use without your consent, except: (i) as specifically described in this Privacy Policy; (ii) to service providers acting on our behalf under contractual restrictions; (iii) in connection with a merger, acquisition, or sale of assets as described in this Privacy Policy; or (iv) as required by law. California residents and residents of other states with applicable privacy laws have the right to opt out of the "sale" or "sharing" of personal information as those terms are defined under applicable state law, as described in Section 5.
• Our affiliates, successors, or assigns, and third parties in connection with, or during negotiations of, any merger, acquisition, financing, sale of assets, reorganization, bankruptcy, or similar event involving YERP, in which information may be transferred as part of the business assets

5. Your Choices and Your Rights

Depending on where you live and subject to applicable law, you may have certain rights and choices regarding your personal information and how we use it. These may include the right to:

• Access your personal data
• Correct inaccurate data
• Request deletion of your data, subject to our need to retain certain information for legitimate business purposes or legal obligations
• Object to or request restriction of certain data processing, including, in some cases, processing for direct marketing or targeted advertising purposes
• Data portability
• Lodge a complaint with a data protection or privacy authority where applicable law provides such a right
• Withdraw your consent to processing where we rely on your consent (without affecting the lawfulness of processing based on consent before its withdrawal)

Depending on applicable law, you may also have the right to opt out of (or, in some cases, opt in to) certain uses and disclosures of your personal information, including: (i) interest-based or targeted advertising; (ii) certain types of profiling; and (iii) the "sale" or "sharing" of personal information, as those terms may be defined under applicable law. You can exercise some of these choices by adjusting settings within your account (where available), using browser or device controls, or contacting us at support@yerp.co with your request and relevant details. We will take reasonable steps to verify your identity before responding to requests that involve access to or deletion of personal information, as permitted or required by law, to protect against fraudulent requests.

You may opt out of receiving marketing or promotional communications from YERP at any time by following the unsubscribe or opt-out instructions included in those communications or by contacting us at support@yerp.co. Even if you opt out of marketing or promotional communications, we may still send you transactional, service-related, or other non-marketing messages (such as important updates about your account, safety notices, or changes to our terms or policies). Opting out of marketing or promotional communications will not limit or affect YERP's rights to collect, use, share, or commercialize Aggregated Data or De-Identified Data as permitted under this Privacy Policy and the Terms of Use. To opt out of targeted advertising, please use the controls described in Section 6 or contact us at support@yerp.co.

6. Cookies, Tracking Technologies, and Targeted Advertising

We use cookies and similar tracking technologies to track activity on our service and to store or access certain information. These technologies may include cookies, pixels, web beacons, local storage, and software development kits (SDKs). We use them to help operate the YERP platform, remember your preferences, understand how the platform is used, customize content, and deliver and measure advertising (including interest-based or targeted advertising) on the YERP platform and on third-party websites and services. You can instruct your browser to refuse all or some cookies or to indicate when a cookie is being sent, and you may be able to manage certain tracking technologies through your device settings or through tools or preferences described in this Privacy Policy. Your ability to use such controls may be limited to certain types of cookies or tracking technologies, and disabling or blocking them may affect the availability or functionality of some features of the YERP platform. Some tracking technologies may not be controllable through browser settings and may require other opt-out mechanisms as described in this Privacy Policy.

7. Children's and Minors' Privacy

Our service is intended for individuals who are 18 years of age or older, or such older age as is required in your jurisdiction to lawfully consent to the collection, use, and sharing of personal information, as described in the Terms of Use and this Privacy Policy. Minors under 18 may only participate in events under a parent or legal guardian's account, with the guardian maintaining full responsibility for the minor's participation, as described in the Terms of Use. The guardian's personal information will be used for all communications and transactions related to the minor's participation. We do not knowingly collect personal information directly from children under 18. If you are a parent or guardian and you become aware that a child under 18 (or under the age of majority in your jurisdiction) has provided us with personal data outside of the guardian-account framework described in the Terms of Use, please contact us at support@yerp.co, and we will take appropriate steps to review and, where appropriate, delete the information or otherwise address the situation in accordance with applicable law.

8. Data Retention

Subject to applicable law and this Privacy Policy, we may retain personal information, User Content, Usage Data, Aggregated Data, and De-Identified Data for as long as reasonably necessary for the purposes described in this Privacy Policy and the Terms of Use, including to operate and improve the YERP platform, maintain business and financial records, comply with legal obligations, resolve disputes, enforce our agreements, and protect YERP, our users, hosts, and the public. Retention periods may vary depending on the type of information, the nature of our relationship with you, and our legal or regulatory obligations. Aggregated Data and De-Identified Data may be retained indefinitely as such data does not identify individuals.

9. Changes to This Privacy Policy

We may update this Privacy Policy from time to time in response to changing legal, technical, or business developments. When we do so, we will post the updated Privacy Policy on this page and update the "Effective Date" at the top of this policy. For material changes that significantly affect your rights or how we use your personal information, we will provide additional notice (for example, by sending an email or providing an in-app notification) at least 30 days before the changes take effect, except where we are legally required to implement changes more quickly. Your continued access to or use of the YERP platform after an updated Privacy Policy becomes effective constitutes your acceptance of the updated Privacy Policy. If you do not agree to the updated Privacy Policy, you must stop using the YERP platform and may request deletion of your account by contacting us at support@yerp.co.
